These Terms of Service ("Terms") govern your access to and use of Agent Hive (the "Service"), operated by Agent Hive, Inc ("Agent Hive", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Acceptance of terms
By accessing or using the Service, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the entity you represent. If you are using the Service for an organization, "you" means that organization.
2. The Service
Agent Hive is a hosted control plane for autonomous AI agents. We provision a private, isolated workspace ("Colony") for each customer, running an orchestration runtime on a dedicated cloud machine, database, and encrypted volume. No customer Colony shares state with another.
3. Accounts and security
You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account and for the configuration and actions of any AI agents you create. Notify us at security@agenthive.co if you suspect unauthorized access.
4. Acceptable use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Generate or distribute illegal, harmful, deceptive, or infringing content.
- Attempt to access another customer's Colony or data.
- Reverse engineer, scrape, or probe the Service for vulnerabilities outside our coordinated disclosure program.
- Interfere with, overload, or disrupt the Service or its underlying infrastructure.
- Resell or sublicense the Service without our written consent.
5. Customer content and data
You retain all right, title, and interest in the data and content you and your agents submit to the Service ("Customer Content"). You grant Agent Hive a limited, worldwide license to host, process, transmit, and display Customer Content solely to provide and secure the Service. We claim no ownership over Customer Content.
6. Bring-your-own AI keys and AI-generated output
The Service connects to third-party large language models. After the trial period, you connect your own provider key (such as Anthropic, OpenAI, or Google), and your model traffic is billed by that provider directly. AI-generated output may be incorrect, incomplete, or harmful and should be reviewed by a human before you rely on it. You are responsible for the review and use of all AI-generated output produced through your Colony.
7. Subscriptions, trials, and billing
The Service is billed per Colony based on the infrastructure you configure (machine size, volume, region, and backup retention). New Colonies start with a 14-day free trial that requires a payment method; we do not charge before day 14, and you may cancel before the trial ends at no cost. Fees are non-refundable except where required by law. We may change pricing on 30 days' notice. Non-payment may suspend or terminate the affected Colonies.
8. Suspension and termination
We may suspend or terminate the Service for breach of these Terms, non-payment, suspected misuse, or to comply with law. You may cancel at any time. On termination, you may export your Customer Content for 30 days, after which we will delete it in the ordinary course.
9. Service level
Standard plans are provided on a commercially reasonable, best-effort basis. Enterprise plans may include a written service-level agreement; absent such an agreement, no SLA applies.
10. Intellectual property
Agent Hive, its logos, and the Service are owned by Agent Hive, Inc or its licensors. No rights are granted except the limited use rights expressly stated in these Terms. Feedback you provide may be used by us without restriction or obligation to you.
11. Third-party services
The Service integrates with third-party providers (for hosting, authentication, payments, AI inference, email, and monitoring). Your use of those integrations may be subject to the third party's own terms. We are not responsible for the acts or omissions of third-party providers.
12. Disclaimer of warranties
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.
13. Limitation of liability
To the fullest extent permitted by law, our aggregate liability for any claim arising out of these Terms or the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, special, incidental, consequential, or punitive damages, or for lost profits, data, or goodwill.
14. Indemnification
You will defend, indemnify, and hold harmless Agent Hive, Inc from any claim arising out of your Customer Content, your use of the Service, your AI agents' actions, or your breach of these Terms.
15. Changes to these terms
We may update these Terms. Material changes will be announced via in-product notice or email at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Subject to Section 17, disputes will be resolved exclusively in the state and federal courts located in Florida.
17. Informal dispute resolution
Before filing a claim against Agent Hive, you agree to first contact us at legal@agenthive.co and provide a written summary that includes (i) your full name, (ii) contact information, (iii) your account email, and (iv) a brief description of the dispute and the relief you seek. You and Agent Hive agree to use best efforts to resolve any Dispute (as defined in Section 18) through good faith negotiations for at least 30 days before initiating arbitration (or a small-claims action, where applicable). This informal process is a condition precedent to initiating arbitration or any legal proceeding, and does not apply to: (y) claims for equitable or injunctive relief in aid of arbitration, or (z) claims that may be properly filed in small-claims court as permitted in Section 18.3.
18. Binding individual arbitration; class action waiver
Please read this section carefully. It requires you and Agent Hive to resolve disputes through binding individual arbitration and limits the ways you can seek relief from us.
18.1. Agreement to arbitrate
You and Agent Hive agree that any dispute, claim, or controversy arising out of or relating to (a) these Terms, (b) the Service, or (c) the relationship between you and Agent Hive (collectively, "Disputes") shall be resolved exclusively and finally by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect when the claim is filed. This agreement to arbitrate is governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1-16, and evidences a transaction in interstate commerce.
18.2. Forum and procedures
Unless you and Agent Hive agree otherwise in writing, the arbitration shall take place in Miami-Dade County, Florida, before a single arbitrator. The arbitrator shall apply Florida law consistent with the FAA and applicable statutes of limitation. The arbitration shall be confidential; neither party may disclose the existence, content, or result of any arbitration except as required by law or to enforce an award.
18.3. Small-claims carve-out
Either party may elect to pursue an eligible claim in a small-claims court of competent jurisdiction rather than in arbitration, provided that the action is filed only on an individual basis and is not removed or appealed to a court of general jurisdiction. If you bring a small-claims court action, you agree to a waiver of trial by jury.
18.4. Class action, collective action, and representative action waiver
You and Agent Hive agree that arbitration shall proceed solely on an individual basis. The arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim. You and Agent Hive expressly waive any right to file, participate in, or obtain relief through any class, collective, consolidated, or representative action.
18.5. Arbitrator's authority
The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, unconscionability, or enforceability of this arbitration clause, including any claim that all or any part of this clause is void or voidable.
18.6. Fees
Agent Hive will pay all AAA filing, administration, and arbitrator fees for individual arbitration claims under $10,000, unless the arbitrator determines the Disputes are frivolous or brought for an improper purpose. In all other cases, AAA rules govern fee allocation.
18.7. 30-day opt-out
You may opt out of this arbitration agreement by sending a written notice to legal@agenthive.co with the subject line "Arbitration Opt-Out" within 30 days of your first acceptance of these Terms. Your opt-out notice must include your full name, mailing address, and the email address associated with your Agent Hive account. If you opt out, neither party will be bound to arbitrate Disputes, but the remainder of these Terms will remain in effect. If you submit an opt-out, you nevertheless agree to the informal dispute resolution provisions of Section 17 and waive trial by jury.
18.8. Severability
If a court of competent jurisdiction decides that any part of this Section 18 is unenforceable with respect to a particular Dispute or request for relief (such as a public-injunction request), the Dispute (or request for that relief) must be severed and litigated in court; the remaining arbitration provisions shall remain in full force and effect.
19. Severability and waiver
The failure of Agent Hive to exercise or enforce any right or remedy in these Terms does not waive that right or remedy. If any provision of these Terms is found to be invalid or unenforceable, the parties agree that the tribunal should endeavor to give effect, to the maximum extent permitted by law, to the parties' intentions as reflected in the provision, and the other provisions of these Terms will remain in full force and effect.
