What it does

Aggregates clause-level deviation data across your entire executed-contract repository on a weekly cadence. Instead of flagging one document, it answers a portfolio question: which approved clauses are counterparties pushing back on most often, and how far are they drifting? It produces a ranked Slack report so legal and revops can decide whether a template clause should be revised because the market keeps rejecting it.

When to use it

Use it when you want to improve your templates, not just police individual deals. Best for legal-ops or contract-management teams looking for systemic patterns, such as a liability cap that gets negotiated in 80 percent of deals.

How it works

  1. 1A weekly schedule starts the audit.
  2. 2All executed contracts in the Drive repository are listed and read.
  3. 3An OpenAI step diffs each contract's clauses against approved templates and tags deviation type and magnitude.
  4. 4A logic step aggregates deviations by clause type and computes renegotiation frequency and average drift.
  5. 5A ranked drift report is posted to Slack and the underlying metrics are written to an Airtable table for trend tracking.
