What it does

Provides a low-noise safety net over your contract pipeline. Every inbound version is diffed against playbook, but the workflow only fires when the agent detects a category of change your team has pre-defined as a hard blocker — for example an uncapped liability clause, a stripped mutual indemnity, or a governing-law switch to a forbidden jurisdiction. When that happens it pages on-call counsel with the exact clause and why it breaches policy.

When to use it

Use it when most redlines are routine but a small class of changes must never slip through unreviewed. Best as a guardrail layered on top of normal review, so a dangerous clause can't quietly get signed.

How it works

  1. 1A new contract version lands in the Dropbox intake folder and triggers the run.
  2. 2The agent extracts the text and loads your defined list of blocker conditions.
  3. 3An OpenAI step evaluates each blocker condition against the document and cites matching clauses.
  4. 4A logic gate fires only when at least one hard blocker is confirmed; otherwise the run ends silently.
  5. 5PagerDuty pages on-call counsel with the breached condition and the offending clause text.
