What it does

It takes a counterparty redline and acts like a junior negotiator: it reads the whole document, finds every clause that strays from your playbook, and for each one drafts a recommended counter-position with reasoning and fallback options. The output is a ready-to-use negotiation brief rather than a raw list of flags.

When to use it

Use it when reviewers don't just need deviations surfaced but need a starting point for the response. It suits deal owners and outside-counsel-light teams who want a first-pass redline strategy in minutes.

How it works

  1. 1A contract is dropped into the review Drive folder, triggering the agent.
  2. 2The agent reads the document and the linked playbook, reasoning over each clause to detect deviations.
  3. 3For every deviation it drafts counter-language, a plain-English rationale, and an acceptable fallback.
  4. 4It assembles these into a structured negotiation brief ordered by leverage and risk.
  5. 5The brief is published to Notion and the deal owner is notified to review and send.
